Board of Director Responsibilities

The Board of Directors shall consist of no less than 12 members and no more than 16 members. One seat shall be designated as a permanent position for the Executive Director of the North Carolina Clean Energy Technology Center. Directors are elected to the NC Sustainable Energy Association (NCSEA) via mail-in or electronic ballot by current members in good standing. The election results are certified at the Annual Membership Meeting. Terms are for three years and staggered; one-third of the Board is elected each year. No Director can serve more than two consecutive terms.

By agreeing to be nominated for election to the Board of Directors, individuals are committing to provide organizational and financial governance through a minimum level participation that includes:

  • Attend a one daylong Board & Staff Retreat each year. Attendance is in person; conference call arrangements are typically unavailable.
  • Attend three additional quarterly meetings lasting ~3 hours. Attendance is in person or through conference call if available.
  • Attend ad-hoc Board meetings that may convene to address specific challenges facing the organization.
  • Review preparation materials in advance of each Board meeting.
  • Attend NCSEA's Annual Membership Meeting and Conference held each winter in Raleigh.
  • Participate on a Board Committee (e.g., Audit & Finance; Nominating). Committee assignments are arranged at the beginning of the year during the first Board of Directors Meeting.
  • Be an ambassador of NCSEA, encouraging people to donate, join as members and participate in events and programs. In addition, Directors are encouraged to attend NCSEA and partner events held throughout the year.
  • Maintain active membership in NCSEA for entire tenure on the Board. NCSEA offers individual membership for $75 per year.
  • Become familiar with NCSEA bylaws.
  • Participate in strategic planning process (if planning occurs during tenure on Board).
